Subscription & Payment Terms
INTERNAL STAGING TEST DOCUMENT — NOT FOR PRODUCTION USE
SUBSCRIPTION & PAYMENT TERMS
These Subscription & Payment Terms supplement the Terms of Service for paid subscriptions, trials, billing, plan changes, cancellations, online-payment platform fees, and related commercial activity in BusinessManager, operated by BusinessManager Staging Sandbox - Internal Evaluation Only.
1. PLAN SELECTION AND PRICING
The plan, billing interval, recurring price, included features, usage limits, and any BusinessManager online-payment platform fee shown at signup or in Plan & Billing are the commercial values that apply to the selected subscription unless changed through an authorized plan-change workflow. Database-published plan values, rather than this template, are the source of current plan pricing.
2. TRIALS
New public signups are currently configured for a 14-day trial. Registration does not require a payment method while the configured trial policy states that no payment method is required. Trial eligibility, duration for future signups, and promotional availability may change prospectively through configuration. A saved or published legal version remains a historical snapshot of the terms presented when it was created.
3. START OF PAID BILLING
Paid recurring billing begins only after the applicable billing setup is completed through the supported subscription checkout flow. Before confirmation, the user should be shown the selected plan, billing interval, and amount. The subscription record and provider state determine the actual lifecycle status.
4. PAYMENT AUTHORIZATION
When a user supplies a payment method through a Stripe-hosted subscription flow, the user authorizes the applicable recurring charges, taxes, adjustments, and other amounts disclosed at checkout or in Plan & Billing, subject to these terms and applicable law. Payment credentials remain with the hosted/tokenized payment provider rather than being stored by BusinessManager.
5. RECURRING BILLING AND RENEWAL
Unless canceled or otherwise ended, a paid subscription renews for the billing interval shown in Plan & Billing. Renewal dates and amounts may be affected by authorized plan changes, billing-interval changes, taxes, provider adjustments, or other changes disclosed before they take effect.
6. PLAN AND BILLING-INTERVAL CHANGES
Eligible plan or billing-interval changes are scheduled according to the behavior shown in Plan & Billing. The current implementation applies eligible changes on the next billing date and does not automatically create a mid-period prorated charge, credit, or refund unless the product expressly displays otherwise.
7. CANCELLATION
When cancellation is scheduled for the end of a paid billing period, access continues through the applicable paid-through date and automatic renewal is disabled. Cancellation does not by itself create a refund or credit for the current period unless required by law or expressly provided by a separate written policy or agreement.
8. REFUNDS, CREDITS, AND REVERSALS
Refund eligibility is determined by applicable law, any separately published refund policy or written commitment, and the facts of the transaction. A plan change or cancellation alone does not promise a prorated refund. Payment refunds, reversals, disputes, or chargebacks may be reflected in transaction and reconciliation records.
9. FAILED PAYMENTS AND ACCOUNT STATUS
Failed or unpaid subscription charges may result in retry attempts, past-due status, a configured grace period, restricted functionality, suspension, or ended service according to the subscription lifecycle implemented by BusinessManager. Users remain responsible for amounts lawfully due.
10. ONLINE INVOICE PAYMENT FEES
If a business enables online customer invoice payments, any BusinessManager platform percentage applicable to those payments is the percentage displayed for the business's plan. Stripe processing fees are separate unless expressly stated otherwise. Customer invoice balances are reduced by the successful payment amount applied to the invoice; processor or platform fees affect the business's net proceeds rather than increasing the customer's outstanding invoice balance merely because a fee exists.
11. TAXES
Prices may exclude taxes unless expressly stated otherwise. The subscriber is responsible for taxes, duties, or government charges imposed on the subscription or transactions except taxes imposed on BusinessManager Staging Sandbox - Internal Evaluation Only's net income, subject to applicable law.
12. PROCESSOR AND CONNECTED-ACCOUNT REQUIREMENTS
Payment processing, connected accounts, payouts, disputes, identity verification, availability, and settlement may be subject to Stripe's terms and eligibility requirements. BusinessManager Staging Sandbox - Internal Evaluation Only does not control every processor decision or processing timeline.
13. CURRENCY AND DISPLAY
Amounts are charged in the currency displayed for the applicable transaction or checkout. Users should review the exact amount, interval, currency, and payment details before confirming a paid transaction.
14. COMMERCIAL CHANGES
Future plan prices, platform fees, trial terms, or commercial features may change prospectively. Material changes should be disclosed through the service or another available contact method before they apply where required by law or contract. A published legal version is not silently rewritten when configuration changes; a new version must be created and published.
15. CONTACT
Billing and subscription questions may be submitted through BusinessManager support or sent to legal-evaluation@businessmanager.com or 305-000-0000. Additional information is available at https://localhost:7167.
